Board of Directors Special Meeting Minutes

December 19, 2006

Board members present: Rick Halperin, Charles Hutchison, Michael Jazaar, John Dainotto, Diane Abdelrahman, Mary Kay Murray, John Martelle

Absent: Amy White, Nimish Bhatt

CIS Administration: Sandi Vielbaum, Richard Beall

 

The conference call meeting was called to order by Mr. Halperin at 6:07pm for purpose of deliberating on a proposed contract with Ziegler Capital Markets Group to commence the process of obtaining a tax-exempt bond for the CIS campus facilities. The specific request is a $10,000 refundable good faith deposit, not to exceed $2,000 in non-refundable expenses. Services will include: appeals to financial institutions to obtain a stand-by letter of credit, working for us as marketer to large-scale investors (e.g., major corporations), and issuing the bond.

John Martelle moved and Charles Hutchison seconded that CIS contract with Ziegler Capital Markets Group to underwrite a tax-exempt bond, with an initial refundable good faith deposit of $10,000, allowing up to $2,000 for non-refundable expenses, on the condition that: 1) a positive reference check to be conducted by the CIS administration and 2) a review and approval by legal counsel.

The motion passed by unanimous vote.

Suggested reference questions:

Reliability, competence, communication?

Did they stay within their expected range of fees?

Was this school’s situation comparable to CIS in the amount of bonds, rate of interest?

Would they choose Ziegler again if doing the process a second time?

How was customer service, did they receive calls back as needed?

Are they able to re-market the bond for additional phases of construction?
